Acquisitions and Dispositions

We conduct due diligence including, but not limited to, reviewing and resolving title, survey, zoning and environmental issues, and we draft and negotiate purchase and sale contracts that fully protect our clients’ interests. As part of your disposition, we can assist you with structuring solid like-kind exchanges under IRC §1031. We determine whether you qualify for a §1031 or other tax-deferred exchange, and then ensure that all requirements are met and that you find an appropriate qualifying property as part of the exchange such that you may take advantage of deferring gain.

Financing

Friedlander Misler is well-versed on both sides of financing transactions and represents lenders and borrowers. We have significant experience with conventional loans, securitized loans, HUD loans and agency loans, including Fannie Mae and Freddie Mac.

Banks are eager to finance well-considered real estate projects, but are often burdened with extensive paperwork in our highly regulated post-real estate bust environment. Our lawyers know the steps required to obtain timely financing under positive terms. Our firm works closely with businesses to complete a thorough loan application supported by all necessary documentation. We tailor specific financing solutions and help negotiate the terms of the loan to best support our client’s immediate needs and long-term objectives.

In addition, our firm represents local, regional and national banks that finance commercial real estate transactions, including construction, acquisition and development loans and lines of credit. We regularly advise on asset-backed and mezzanine financing issues.

Commercial Leasing

Our attorneys protect the rights of property owners and management companies in leasehold arrangements. We draft letters of intent, leases, management agreements and broker agreements tailored to your business’s needs and goals. Our attorneys have decades of experience negotiating office, industrial and retail leases and understand the intricacies of large shopping malls, neighborhood and community shopping centers and mixed-use properties. Our firm has negotiated all types of retail leases, including anchor store leases, junior anchor store leases, in-line mall store leases, restaurant leases, pad leases and ground leases, most of which are with national retailers. Development and Construction

We draw upon our business and legal skills to draft a wide variety of construction documents with architects, engineers, design consultants, construction managers, general contractors, project managers and owners’ representatives, including construction, design, engineering, bid, procurement, construction management and design/build agreements, utilizing both AIA forms and custom documents.

Joint Ventures and Corporate Projects

We represent principals and investors in structuring capital raises and syndications involving accredited investors. Throughout the process, our team ensures your company remains in compliance with Federal Reserve Regulation D.

A joint venture or the right corporate investment can provide the necessary capital to finance a real estate development project. However, as with any other transaction, the manner in which you structure the real estate entity can drastically affect its success.
